By using the mobile applications, websites (including their subdomains) and any other products and services of Asterium Ltd. ("Services"), and by authorizing in them, you are entering into a legally binding agreement with Asterium Ltd. ("Asterium", "we", "us") and you agree to these Terms of Use ("Terms"). By using the Services under your Asterium account, you accept these Terms for yourself and for any user whom you authorize to use the Services under your account, and you are fully responsible for such use. If you do not agree to these Terms, you must immediately stop using the Services. By continuing to use the Services, you express and confirm your acceptance of these Terms and any subsequent revisions of them. Asterium reserves the right, at any time and in its sole discretion, to change, suspend or discontinue the Services, and to update these Terms. Use of the Services for commercial purposes, or outside the scope of these Terms, is prohibited.
Asterium provides a parental-control platform intended to help a parent or legal guardian care for the safety of their minor child. The Services include mobile applications for iOS and Android (including the parent application "Honkzilla! Parental Control" / «Гусяра! Родительский контроль»), server-side services and related interfaces. The functionality of the Services may include: determining the location of the child's device, information about app usage and the ability to set limits on it, listening to the ambient sound around the child's device ("ambient listening"), family chat, and notifications. The accuracy and availability of particular features depend on many factors (including internet access, device characteristics and settings, reception conditions for satellite and network positioning systems, and limitations of operating systems and app stores) and are provided on a "best efforts" basis. Certain features may be unavailable on outdated versions of devices, operating systems or applications. Asterium reserves the right to update, change or discontinue any features and the Services at any time without prior notice.
The Services are intended solely for adults. By registering an account and using the Services, you confirm that you are at least 18 years old and that you are the parent or legal guardian of each minor whose device is connected to your account, or that you otherwise have the lawful right to carry out such monitoring and have obtained all consents required by applicable law. You undertake to use the Services solely for the lawful purpose of caring for your own minor children or wards. It is strictly prohibited to use the Services for covert surveillance of adults without their knowledge and consent, for harassment or stalking, or in any other manner that violates laws on privacy, secrecy of correspondence and communications, or other applicable law. You are solely responsible for the lawfulness of your use of the Services and undertake to indemnify and hold Asterium harmless against any claims, losses and expenses arising from your breach of this clause.
To access the Services you must have an Asterium account. An account may be registered with an email address or by authorizing through third-party services (for example, Google or VK). Different authorization methods may provide access to different accounts. You must take all reasonable measures to protect your credentials from third-party access and are responsible for all activity carried out under your account. Asterium reserves the right to refuse to register a new account or to terminate an existing account without explanation.
Certain features of the Services are provided on a paid basis through subscriptions of various tiers. Unless expressly stated otherwise, a subscription is auto-renewing: it automatically renews for a further like period and is charged to your selected payment method until you cancel auto-renewal. In the territory of the Russian Federation, payment is made through the Yookassa payment service. If payment becomes available in the future through the built-in mechanisms of the app stores (for example, Apple App Store, Google Play, RuStore), the terms, method and timing of charges for such payment are governed by the rules of the relevant store. You can cancel auto-renewal in the subscription settings within the app (and, for payment through an app store, also in the settings of the relevant store) before the end of the current paid period. Cancellation stops future charges but does not terminate the current paid period. We may change subscription prices, giving you advance notice in the manner required by applicable law.
All paid features, subscriptions, balances, credits and other digital content purchased within the Services constitute digital content and licenses that are provided (activated) immediately upon payment. By making a purchase, you expressly request and consent to the immediate commencement of the supply of the digital content and performance by Asterium before the expiry of any withdrawal period ("cooling-off period"), and you expressly acknowledge that you thereby lose any right of withdrawal (revocation of consent) provided by applicable law in respect of such digital content, because its supply has begun with your consent.
Accordingly, and to the maximum extent permitted by applicable law: all purchases are final; amounts paid for digital content that has been supplied or used (in whole or in part), for expired or commenced subscription periods, and for unused balances, credits and quotas (including the ambient-listening balance) are non-refundable, non-exchangeable and non-transferable. Cancellation of a subscription does not create a right to a refund for the current paid period. If a purchase is made through an app store (Apple App Store, Google Play, RuStore), any refund matters are handled exclusively by the relevant store in accordance with its policies; Asterium does not process such refunds and does not control the store's decisions on them, and you should therefore contact the relevant store directly.
This section does not intend to, and cannot, limit those consumer rights that cannot be excluded or restricted by the mandatory provisions of the law applicable to you. To the extent such mandatory provisions grant you a right to a refund, that right is preserved; in all other cases the finality-of-purchases regime set out above applies.
You may receive notifications about events related to the Services and connected devices. Notifications may be delivered as PUSH notifications, by email, via SMS or within the app, and may include text and voice messages, images, information about device events, alarms and other data.
Technical support is provided upon contacting support@asterium.ru. Asterium aims to respond to incoming requests, claims and questions within 72 hours; this period may be extended in the event of force majeure, technical failures, frequent or duplicate requests, or for other objective reasons. Before bringing any court action, the parties undertake to observe the mandatory pre-trial claims procedure: to send a written claim to the address indicated and allow at least 30 (thirty) calendar days for its consideration. Asterium may decline to consider requests that are made in a rude form or contain profanity.
Asterium reserves the right to suspend or terminate the provision of the Services, in whole or in part, if the user breaches these Terms, uses the Services for unlawful purposes, or violates the legislation of their country or of the Russian Federation.
THE SOFTWARE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, UNINTERRUPTED OPERATION, ACCURACY AND NONINFRINGEMENT. IN NO EVENT SHALL THE AUTHORS OR COPYRIGHT HOLDERS BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY ARISING FROM THE USE OF, OR INABILITY TO USE, THE SOFTWARE OR THE SERVICES.
To the maximum extent permitted by applicable law, Asterium's aggregate liability for any claims relating to the Services is limited to the amount actually paid by you for the Services during the 3 (three) months preceding the event giving rise to the claim; Asterium is not liable for any indirect, incidental, punitive or consequential damages, or for lost profits. This section does not exclude or limit liability to the extent this is not permitted by the mandatory provisions of the law applicable to you.
All rights in the software, design, trademarks and other intellectual property associated with the Services belong to Asterium or its licensors. You are granted a limited, revocable, non-exclusive and non-transferable license to use the Services solely for personal, non-commercial purposes in accordance with these Terms.
These Terms and any related relations are governed by the law of the Russian Federation. Any disputes not resolved through the claims procedure shall be considered by the competent court at Asterium's place of location. If you are located outside the Russian Federation, the foregoing does not deprive you of the protection afforded by the mandatory provisions of the law of your country of residence that cannot be varied by agreement of the parties.
All changes to these Terms are effective when posted on this page. When we change the Terms in a material manner, we will notify you via email and/or a prominent notice within the Services before the change becomes effective and update the "last modified" date at the top of this page.
